Welcome to companyoffsite.com. This website and its associated services (collectively, the "Platform") are owned, operated, and maintained by Venue Retreat (accessible viawww.venueretreat.com, hereinafter referred to as "the Company", "We", "Us", or "Our").

These Terms and Conditions ("Terms") govern the access and use of the Platform. Please read them carefully. By browsing, accessing, or interacting with the Platform, you agree to be bound by these Terms. If you represent a corporate entity or a venue, you warrant that you have the legal authority to bind that entity to these Terms.

1. DEFINITIONS AND SCOPE OF APPLICATION

To ensure clarity throughout this document, we distinguish between two primary categories of users:

  • "Visitors/Clients": Corporate groups, event organizers, companies, or individuals utilizing the Platform to search, discover, and inquire about prospective locations for corporate retreats, meetings, and offsite events.
  • "Network Venues": The independent properties, venues, hotel operators, and hospitality providers listed, featured, or advertised on the Platform.

These Terms apply comprehensively to both user groups, except where sections are explicitly designated as applicable to only one category.

2. NATURE OF THE PLATFORM (NOT A BOOKING PLATFORM)

2.1 Informational and Marketing Directory Only

companyoffsite.com is strictly an informational directory, promotional network, and B2B matchmaking platform. We provide marketing visibility for Network Venues and a curated discovery portal for Visitors/Clients.

2.2 Zero Transactional Liability

  • No On-Platform Bookings: No reservations, transactional bookings, or financial payment operations for venue space occur on or through this Platform.
  • Direct Contracting: All contractual arrangements, deposits, bookings, and service agreements are negotiated and executed directly between the Visitor/Client and the Network Venue.
  • Exclusion of the Company: The Company is not a party, broker, agent, or guarantor to any commercial contract entered into between a Visitor/Client and a Network Venue. Consequently, we bear zero liability for:
    • Cancellations, date changes, or overbookings.
    • Substandard venue conditions, misrepresentations of amenities, or lack of suitability.
    • Property damage, personal injury, health and safety incidents, or force majeure events occurring during an offsite event.
    • Any monetary or contractual disputes arising between the Client and the Venue.

3. TERMS SPECIFIC TO VISITORS / CLIENTS

3.1 Duty of Independent Verification

While the Company aims to feature reputable properties, all venue profiles, images, and descriptions are compiled via information provided by the venues or curated from public profiles. Visitors/Clients acknowledge that they are solely responsible for conducting their own due diligence, site inspections, and contract verifications before sending funds or signing agreements with a Network Venue.

3.2 Client Fees

Unless explicitly stated otherwise via a separate bespoke consulting agreement, the use of the Platform to search and submit inquiries is completely free of charge for Visitors/Clients. There may be paid access to certain posts and content in the future for venue listings, venue partners, retreat leaders, agencies and company clients.

4. PREMIUM MEMBERSHIPS, SUBSCRIPTIONS, AND PAID CONTENT

4.1 Restricted Gatekeeping and Paid Access

The Company reserves the right to restrict access to certain premium areas, advanced tools, exclusive venue data, or specialized industry insights on the Platform exclusively to registered, paid members ("Premium Members").

4.2 Membership Perks and Newsletters

By subscribing to a paid membership tier, Premium Members may receive exclusive content, early access to venue listings, and curated marketing newsletters.

  • Consent to Newsletters: By signing up for a paid account, you explicitly agree to receive these member-only communications. You may manage your communication preferences or opt-out at any time via the link provided in the emails, though doing so may limit the delivery of certain membership benefits.
  • GDPR Compliance: All email distribution and subscriber data management are processed strictly in accordance with our Privacy Policy and EU data protection standards.

4.3 Absolute Right to Amend Pricing and Content

The Company operates in a dynamic business environment and reserves the unilateral right to change, modify, amend, or restructure its membership offerings at any time. This includes, without limitation:

  • Altering the cost, billing cycles, or payment structures for any paid access.
  • Modifying, adding, or removing the specific content, features, or newsletter perks allocated to any membership tier.
  • Introducing new paid tiers or converting previously free areas of the Platform into paid zones.

4.4 Price Changes and Notice

Any changes to subscription prices or material structural modifications to existing paid plans will be communicated to active Premium Members with reasonable advance notice (e.g., 30 days) via the email address associated with their account. Continued use of the paid services after the effective date of the price or content change constitutes full acceptance of the revised terms. All membership payments are non-refundable unless explicitly required by applicable European consumer law.

TERMS SPECIFIC TO NETWORK VENUES

This Section applies to all hospitality entities, properties, and venue operators who register, list, or request to be featured within our network ecosystem.

4.5 Annual Network Fees

Network Venues agree to pay an Annual Network/Membership Fee to be listed, marketed, and maintained within the Venue Retreat ecosystem (including companyoffsite.com). This fee is determined by the initial commercial onboarding agreement executed between the Company and the Network Venue. Annual fees are non-refundable and cover the administrative and promotional costs of network placement.

4.6 Commission Obligations on Confirmed Bookings

In addition to the Annual Network Fee, Network Venues operate under a commission-based referral model:

  • Trigger Event: If a Visitor/Client submits an inquiry, is introduced to, or initiates contact with a Network Venue through a lead generated by companyoffsite.com or the broader Venue Retreat network, and subsequently executes a confirmed booking, the Network Venue is contractually obligated to pay the Company the agreed-upon commission percentage specified in their initial onboarding agreement.
  • Mandatory Reporting: Network Venues are under a strict legal obligation to track, register, and report to the Company all inquiries converted into confirmed corporate bookings within five (5) business days of contract execution or deposit payment by the Client.
  • Non-Circumvention: Network Venues shall not attempt to bypass, circumvent, or obscure leads provided by the Company to avoid commission payouts.

4.7 Right to Verify and Audit

To ensure fair and transparent operations, the Company reserves the right to periodically verify cross-references of booking data. Upon reasonable notice, Network Venues agree to provide documentation or written confirmation validating whether a specific corporate lead introduced via our Platform resulted in a finalized commercial booking.

5.1 Proprietary Platform Rights

All elements of companyoffsite.com—including its proprietary layout, user interface design, source code, text, graphics, branding, and structural curation—are the exclusive intellectual property of Venue Retreat and are protected under European and International Copyright and Trademark laws. Any unauthorized scraping, mirroring, copying, or redistribution of this data without written authorization is strictly prohibited.

5.2 Venue-Submitted Content License & Warranty

By uploading or providing images, video material, copy, promotional texts, or logos to the Company for network placement, the Network Venue:

  • Grants the Company a worldwide, perpetual, royalty-free, non-exclusive license to display, modify, crop, and utilize said media across our digital platforms, newsletters, and social media channels for marketing purposes.
  • Warrants and Guarantees that they hold full legal copyright ownership or valid commercial usage licenses for all submitted media.
  • Indemnification Clause: Network Venues accept full, unconditional legal liability and agree to indemnify and hold harmless Venue Retreat against any third-party copyright infringement lawsuits, fines, or legal demands arising from media provided by the venue.

If you are a copyright owner or an agent thereof and believe that any content hosted on our Platform infringes upon your copyrights, you may submit a formal notification to our designated agent at [Insert Legal Email Address]. The notice must include:

  1. A physical or electronic signature of the authorized person.
  2. Identification of the copyrighted work claimed to have been infringed.
  3. The specific URL/location of the allegedly infringing material on our site.
  4. Your contact information (email, phone, address).

6. EUROPEAN DATA PROTECTION & GDPR COMPLIANCE

6.1 Role as Data Controller and Processor

The Company processes personal data in strict compliance with the European General Data Protection Regulation (GDPR) and local member state data protection acts.

6.2 Data Flow for Corporate Inquiries (Lead Forwarding)

  • When a Visitor/Client completes an inquiry form on companyoffsite.com to request information about a property, they explicitly authorize the Company to process and transmit their provided business contact data (name, email, company, event specifications) to the designated Network Venue.
  • Venue Data Obligations: Once a Network Venue receives a client lead from us, the Network Venue becomes an independent Data Controller of that personal data and must process it in complete compliance with the GDPR. Network Venues must safeguard client data and are strictly prohibited from selling or distributing it to unauthorized third parties.

7. INDEMNIFICATION & LIMITATION OF LIABILITY

7.1 Total Limitation of Damages

To the maximum extent permitted by applicable European B2B and consumer legislation, Venue Retreat and companyoffsite.com shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenues, or business opportunities, arising out of or related to the use or inability to use this Platform.

7.2 Indemnity

Users (both Clients and Network Venues) agree to defend, indemnify, and hold harmless the Company, its directors, employees, and subsidiaries from any claims, damages, losses, or legal costs (including reasonable attorney fees) resulting from their breach of these Terms, misuse of the platform, or violations of third-party rights.

8. GOVERNING LAW AND JURISDICTION

These Terms, alongside any non-contractual obligations arising out of or in connection with them, shall be governed by, interpreted, and construed strictly in accordance with the laws of [Insert Country where Venue Retreat is registered, e.g., Ireland / Spain / Netherlands].
